Transpire Bio Inc. is seeking a highly motivated Legal Counsel with expertise in intellectual property and commercial contracts to join our growing team. This role will provide critical legal support across IP portfolio management, licensing, collaboration agreements, and corporate contracts. The ideal candidate will also be fluent in Mandarin, enabling effective engagement with Transpire Bio’s Chinese subsidiary, as well as partners, vendors, and regulatory authorities in China. This position is well-suited for an attorney who thrives in a fast-paced, entrepreneurial biotech environment, especially as we prepare for an IPO.
Key Responsibilities:
Contracts:
• Draft, review, and negotiate a wide range of agreements, including vendor contracts, CRO/CMO agreements, supply/distribution contracts, confidentiality agreements, and strategic partnerships.
• Partner with Procurement, Operations, and Clinical teams to support day-to-day contracting needs.
• Ensure compliance with corporate policies, securities regulations, and IPO-readiness requirements.
Intellectual Property (IP):
• Support IP portfolio strategy in collaboration with R&D and external IP counsel.
• Draft, review, and negotiate patent license agreements, research collaborations, and material transfer agreements.
• Assist in freedom-to-operate analyses and IP due diligence for transactions.
• Coordinate with outside counsel on patent filings, trademarks, and enforcement.
International (Mandarin / China focus)
• Provide Mandarin language support in reviewing and negotiating contracts with Chinese partners, suppliers, and collaborators.
• Assist in bridging cultural and legal differences in negotiations and business practices.
• Monitor and advise on Chinese regulatory/legal developments relevant to biotech operations.
• Familiarity with the drug approval process in China and Europe.
Qualifications:
- JD or LLB (with admission to practice in at least one U.S. jurisdiction).
- 5–8+ years of legal experience, ideally a mix of law firm and in-house in the biotech/pharma sector.
- Strong background in intellectual property and commercial contracting.
- Fluency in Mandarin (spoken and written) required.
- Experience working with Chinese partners, suppliers, or regulators strongly preferred.
- Excellent negotiation, drafting, and communication skills.
- Ability to balance legal risk with pragmatic business solutions in a fast-paced startup environment.
